Biography

Philip R. Primeau provides corporate and transactional expertise to companies at all stages of the business lifecycle, with the aim of adding value to his clients by supplying proven insight that advances practical business goals. From start-up to wind-up, he offers experience-based strategic counsel and tactical advice concerning questions of organization and structure, debt and equity financing, collateralization, shareholder relations, acquisition and disposition of assets, corporate governance, management continuity, interest buyouts, regulatory compliance, and exit/succession planning. He is familiar with the full range of instruments and contracts critical to business security and success, including promissory notes, mortgages, leases, guaranties, distribution agreements, service agreements, purchase and sale agreements, employment agreements, licenses, and franchises. He brings deep experience in commercial lending, especially in the areas of renewable energy and quick service restaurants, representing an array of borrowers and institutional and non-institutional lenders.

During law school, Philip served as the Executive Notes & Comments Editor of the Roger Williams University Law Review. He also served as a judicial intern for the United States District Court for the District of Rhode Island and the United States Court of Appeals for the First Circuit.

Philip is active in his parish and served on the founding board of Chesterton Academy of Our Lady of Hope.
